Abbott Labs Is Buying St. Jude Medical for $25 Billion

The deal comes with a high premium.

Abbott Laboratories ABT -2.92% said it agreed to buy medical device maker St. Jude Medical STJ -1.38% for $25 billion to add heft to its heart and neurological devices business.

St. Jude shareholders will receive $46.75 in cash and 0.8708 Abbott shares, representing a total consideration of about $85 per share.

The offer represents a 37% premium to St. Jude’s Wednesday closing. St. Jude’s shares were up about 27% premarket on Thursday.

Abbott will assume or refinance St. Jude’s net debt of about $5.7 billion.

The deal will add to Abbott’s adjusted earnings per share in the first full year after the close of the transaction, the company said. It will add 21 cents per share in 2017 and 29 cents in 2018.
Abbott’s cardiovascular device unit will have annual sales of $8.7 billion after the business are combined.

Modernizing Elections – and idea whose time has come
Most Americans were shocked and angry to discover that their votes did not decide primary elections.  In both major political parties “delegates” are selected to attend a convention and they vote for the candidate of their choice.  Frequently these delegates are influenced by the political establishment of their party and they do not always choose the candidate who had the most votes in the primary election.
Americans may not have been aware of this corruption at the primary level but It wouldn’t take a Mensa member to suspect what was happening.  Think about it a minute; we elect and send our representatives to Congress and once they move to DC they no longer do the bidding of those who elected them.
Representative forms of government are all subject to this type of corruption.  My church is another example.  The national denomination is attended by elected “delegates”.  But the power structure within the church has been hijacked by left wing activists.  So when the delegates arrive they are sent to “workshops” (dare I say “reeducation propaganda pressure groups?) to influence their vote.  Our national denomination now supports gay marriage, gay clergy, boycott of Israel, and gun control.  If there were a method of allowing the members of our churches to vote directly, none of these issues would prevail.
In the political arena newly elected representatives frequently are idealistic enough that they still think they should represent those who elected them.  The party leaders and the committee chairmen realize that “doing the will of the people” would weaken if not destroy the elite power structure that is firmly in place.  By the time these newcomers first term is over they have become part o the “good ole boys network, or the party bosses will make sure they are not reelected.
So be it a political party, a union, a church, or any other organization that establishes policy using elected delegates or representatives you can be sure that the establishment power brokers are who is really making the decision. 
We have all been disenfranchised.
Of course it turned out this way.  When our institutions were created it was at least a three day horseback ride to the state capital.  By 1860 The fastest mail delivery was the Pony Express, who could get letters from St. Joseph, Mo., to Sacramento, Calif., in 10 days. After 18 months, however, the Pony Express ceased to exist when the complicated operation became too expensive.  By 1861, however, Western Union had laid the first transcontinental telegraph line, making it the first nationwide telegraph company
Theoretically, by the end of the 19th century the establishment power structure could have begun to be deconstructed.  Local elected leaders could have held town hall meetings in every community and voted by telegraph thereby eliminating the clustering of power in one place.  Needless to say the ensconced power brokers in centralized locations weren’t about to help that solution to be applied.
By now many of my readers have begun to see where I am going with this article.  With the advent of the Internet we no longer need centers of political power.  It is now technologically possible to empower citizens to vote directly on issues and there is no longer a need for representatives to gather together in a cluster of influence and power and our government can truly be “of the people, by the people, and for the people”,
Legislative, Judicial and Executive are the three institutions of government that are provided for by our constriction.  The forth branch of government is missing; the citizens.
What would a reasonable, rational plan to make the citizens the fourth branch of government look like?

One of the things I do for a living involves the behavioral sciences.  When an individual or a group wants to change habitual behavior one of the recognized effective techniques is “incremental desensitization”. The simple explanation of that principle is to create increments that are easily achieved and to continue that process until the full change has been created.  I wrote an article about this process that can be found at http://dontshootrusty.blogspot.com/

Icegate: Now NSIDC Caught Tampering With Climate Records

You’ve read about the climate fraud committed ‘on an unbelievable scale’ by the shysters at NASA.

You’ve read about how NOAA overestimated US warming by 50 percent.

Now it’s NSIDC’s turn to be caught red-handed fiddling the data and cooking the books.

NSIDC – National Snow and Ice Data Center – is the US government agency which provides the official statistics on such matters as sea ice coverage in the Arctic.

Naturally its research is of paramount importance to the climate alarmists’ narrative that man-made global warming is causing the polar ice caps to melt. At least it was until those ice caps refused to play ball…

Where the alarmists have for years been doomily predicting ice free summers in the Arctic –  according to Al Gore in 2007, 2008 and 2009 it would be gone by 2013 – the truth is that multi-year ice has been staging a recovery since 2009.
So what do you do if reality doesn’t suit your narrative? Simple. If you’re NSIDC (and NASA and NOAA…) you just change reality.

NSIDC’s latest attempt to breathe new life into the corpse of the alarmist narrative comprised a press release a few weeks ago claiming that 5+ year old sea ice is at its smallest level on record. To prove it, they’ve produced a new chart that looks like this.
But according to Steven Goddard of the Real Science website this claim needs to be taken with a huge pinch of salt.

Note how, to confuse matters, NSIDC have upended their chart so that 5+ year ice instead of being at the bottom is now at the top. Far worse, though, they’ve gone and deleted all the old style maps from their archive.

At least they thought they had.

But a sharp eyed reader of Goddard’s managed to find one old style map that NSIDC had forgotten to delete. This enabled Goddard to compare the new style map with an old style map for the same week. What he discovered is that NSIDC has been making some dramatic and unexplained adjustments to the record: about half the 5+ year sea ice which should be there, for example, has been mysteriously erased.

Here is a chart Goddard has composed showing the differences.
And here are the two maps, new and old. Note how much larger the 5+ year sea ice coverage is on the old one than on the new one. Note also that there is no scientific reason for this.
NSIDC must know that what they are doing is unethical. Why else would they have gone to the trouble not just of deleting their old records – but of trying to block the auto-archiving of that data?
We’re often told by the alarmist establishment that the ‘science is settled’, that there’s a 97 per cent consensus on man-made global warming and that the debate is over. Well, fine. But normally when a case is rock solid the facts are allowed to speak for themselves. Usually, the only time you need to tamper with the evidence is when you’re really desperate and when, you might say, you’re skating on really thin ice…
